# Terms of Service

## 1. About the Service

KeepRouter ("the Service", "we", "us") is a multi-model large-language-model API gateway compatible with the OpenAI and Anthropic interface specifications. We provide, on an **aggregation / reselling** basis, unified access through routing/API intermediaries and third-party upstream model providers, including but not limited to OpenAI, Anthropic (Claude), Google (Gemini), as well as Qwen, Kimi, Zhipu GLM, DeepSeek, MiniMax and others.

Important: we do not train or own these underlying models. Your requests are **forwarded** through the routing/API intermediary and/or upstream model provider serving the selected model. A routing intermediary may receive a request before the model maker does. Availability, performance, pricing, output quality and third-party data handling depend on that processing chain; we cannot guarantee continuous availability and may add, change or retire any model at any time.

These Terms form a legally binding agreement between you and us. By accessing or using the Service you confirm that you have read, understood and agree to be bound by these Terms, the [Privacy Policy](/privacy) and the [Acceptable Use Policy](/aup); if you do not agree, do not use the Service.

## 2. Eligibility & Geographic Restrictions

2.1 You must be at least **18 years old** and have full legal capacity to use the Service. If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization.

2.2 **The Service is NOT offered to users in mainland China.** We display a notice to visitors who appear to be from mainland China. By registering you represent that you are not using the Service from within mainland China.

2.3 You must also comply with the laws of your jurisdiction and the geographic and export-control restrictions of each upstream provider, and must not circumvent them via VPN, proxy or similar means (see also Section 17, Export Control & Sanctions).

## 3. Accounts

3.1 The Service uses email + one-time verification code (email OTP) sign-in; there is no traditional password. Your first successful verification automatically creates your account.

3.2 You are responsible for all activity under your account and for the security of your email / sign-in credentials. If you discover unauthorized use, contact support@keeprouter.com immediately.

3.3 You agree to provide true, accurate and complete information and to keep it up to date.

## 4. Prepaid Credits & Payment

4.1 The Service uses prepaid, pay-as-you-go billing. You purchase credits in US dollars (USD); each call deducts credit according to the model's published rate and actual usage (input, output, cache or per-request charges), with no fixed monthly subscription.

4.2 Payment provider / Merchant of Record:

> Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

That is: the payee shown on your statement is **Paddle** (not KeepRouter); as Merchant of Record, Paddle collects payment, remits VAT / sales tax and similar taxes to the relevant authorities, and handles refunds. A separate purchase contract is formed between you and Paddle, and your payment is also subject to the [Paddle Checkout Buyer Terms](https://www.paddle.com/legal/checkout-buyer-terms) and Paddle's refund policy.

4.3 **Top-up amount, processing fee & taxes:** Top-ups are priced in USD, and the credit you receive equals the credit amount you selected (select $10 of credit, receive $10 of credit). Before payment, checkout separately displays a processing fee, which is not added to your credit balance. Paddle also applies any taxes required for your region. Your total charge is therefore the selected credit amount plus the displayed processing fee and applicable tax; the credit received remains the selected amount.

4.4 **Express authorization & disclosure:** Before you submit payment on the checkout page, the credit amount, processing fee, currency, tax notice and links to these Terms / the Paddle Buyer Terms are presented to you in a clear and conspicuous manner; clicking pay constitutes your informed consent to that one-time charge. The Service uses **one-time prepaid top-ups** with **no auto-renewal or recurring subscription billing**; we do not charge you without separately authorizing each transaction.

4.5 **Price changes:** Because upstream pricing may change, we reserve the right to change model unit prices and billing rules at any time; changes do not affect the face value of credits already purchased but do affect the deduction rate of subsequent calls. Current prices are as shown in the console and on the [Models & Pricing](/models) page.

4.6 **Nature of credits:** Credits are merely a prepaid right to use the Service. They are not a deposit, electronic money or a transferable financial instrument, bear no interest, and are **not transferable between users or redeemable for cash**.

4.7 **Credit validity:** To the extent permitted by law, we reserve the right to set an expiry on **long-idle** credits (e.g. after a reasonable period from your last successful top-up), with reasonable advance notice before doing so. System-granted trial/promotional credit may carry a shorter validity or usage-scope restrictions (see the console).

4.8 **Anti-abuse & fair use:** To keep the Service stable, we may set and adjust rate limits, concurrency caps and per-key limits. For abnormal, automated abuse or activity clearly beyond normal use patterns, we may throttle, suspend the relevant key or the account.

## 5. Refunds & Chargebacks

5.1 For refund requests, contact support@keeprouter.com; because Paddle is the Merchant of Record, the actual refund is handled by Paddle under its refund policy.

5.2 Once an approved refund is executed, we will **claw back an equivalent amount of credit** from your account; if the recoverable credit is insufficient (already consumed), we may decline the refund or adjust it proportionally.

5.3 Credit already consumed is generally non-refundable; third-party payment processing fees (if any) are non-refundable.

5.4 The above does not affect your mandatory consumer rights under applicable law (e.g. the 14-day right of withdrawal for eligible EU/UK consumers, per the Paddle Buyer Terms; that right may no longer apply once digital content has begun to be used).

5.5 **Chargebacks:** If you have a question about a charge, please contact us or Paddle first rather than filing a chargeback directly with your card issuer. For malicious or fraudulent chargebacks on good-faith transactions, we may suspend the relevant account, claw back the corresponding credit, and reserve the right to pursue recovery under the law.

## 6. Acceptable Use

Your use of the Service must always comply with our [Acceptable Use Policy](/aup), which is an integral part of these Terms. **Critically: you must also comply with and flow down the usage policies of every upstream provider you call** (OpenAI, Anthropic, Google, etc.). Violating the AUP or any upstream policy constitutes a material breach.

## 7. API Keys

7.1 We issue keys with the `sk-kr-` prefix, stored **hashed** on our side; the plaintext cannot be recovered, only rotated (re-issued).

7.2 You are fully responsible for keeping your keys confidential and secure; all requests and charges made with your keys are your responsibility. Do not expose keys in client-side code, public repositories or untrusted environments.

## 8. Third-Party Upstream Terms

Each upstream provider has its own terms and data policies. You are responsible for reviewing and complying with them before use. We are merely a forwarder; we do not modify, waive or expand the rights granted to you by upstream terms; where applicable, the relevant upstream provider may be a third-party beneficiary of certain provisions of these Terms.

## 9. IP & Output

9.1 You retain all rights to your Inputs and warrant that you hold all authorizations needed to submit them.

9.2 Ownership of and use restrictions on model Outputs are **deferred to the terms of the upstream model you use**; we claim no ownership of Outputs and make no independent warranty. Given the nature of generative AI, identical or similar Outputs may also be provided to other users.

9.3 Outputs are AI-generated and may be inaccurate, incomplete, outdated or misleading; you must verify them before use. We are not responsible for any action you take based on Outputs.

9.4 **Feedback:** If you provide us with suggestions or feedback about the Service, we may use it freely and without restriction, with no obligation of confidentiality or attribution to you.

## 10. Availability, Beta & New Models

10.1 **No SLA:** The Service is provided on a self-serve basis with **no service-level agreement or uptime commitment**. We may interrupt, restrict or discontinue all or part of the Service at any time for maintenance, upstream failure, capacity or security reasons. Any enterprise availability commitment must be separately agreed in writing.

10.2 **Beta / new models:** Newly launched, preview or beta/experimental models and features may be unstable, change or be retired at any time, and are provided "as is" with no warranty.

## 11. Disclaimers / AS-IS

11.1 To the maximum extent permitted by law, the Service is provided **"AS-IS" and "AS-AVAILABLE"**, without any express or implied warranty (including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or data accuracy).

11.2 Not for high-risk use: the Service is not intended for safety-critical scenarios requiring licensed professional judgment (medical, legal, financial, personal safety, etc.) unless you have arranged independent verification by a licensed professional and accept the risk yourself (see also AUP Section 3).

## 12. Limitation of Liability

12.1 To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, punitive or consequential damages, or for loss of profits, revenue, data or goodwill.

12.2 **Liability cap:** Our aggregate liability for all claims relating to the Service shall not exceed the greater of: (a) the fees you actually paid for the Service in the **3 months** before the event giving rise to the claim; or (b) **US$100**.

12.3 The above exclusions and limitations do not apply to the extent prohibited by applicable law (for example, they do not exclude liability for fraud, willful misconduct, or liability that cannot be excluded by law).

## 13. Indemnification

You agree to indemnify and hold us harmless (along with our affiliates, employees and upstream providers) from third-party claims, losses or expenses (including reasonable legal fees) arising from your breach of these Terms, the AUP or any upstream policy, or from your Inputs, your use of Outputs, or your end-user-facing deployment.

## 14. Suspension & Termination

14.1 You may stop using the Service at any time and request account deletion (see the Privacy Policy).

14.2 If you breach these Terms or the AUP, or to protect the Service, other users or third parties, or to comply with the law, we may suspend or terminate your access without prior notice.

14.3 For termination due to a violation, remaining credit may be non-refundable; for ordinary termination not due to a violation, remaining unused credit is handled per the refund policy.

14.4 **Survival:** Provisions that by their nature should survive termination (including but not limited to Sections 8, 9, 11, 12, 13, 16, 17 and this clause) continue in effect after termination.

## 15. Changes

We may update these Terms from time to time; we will give advance notice of material changes by reasonable means (such as an in-product notice or email). Continued use after changes take effect constitutes acceptance; if you disagree, you should stop using the Service and may request account deletion.

## 16. General

16.1 **Entire agreement:** These Terms, together with the Privacy Policy, the AUP and any documents expressly incorporated by reference, constitute the entire and exclusive agreement between you and us regarding the Service, superseding all prior oral or written communications.

16.2 **Severability:** If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the provision shall be enforced to the maximum lawful extent of its intent.

16.3 **No waiver:** Our failure or delay in exercising any right does not constitute a waiver of that right.

16.4 **Assignment:** You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or transfer of assets.

16.5 **Notices:** We may give you notice via your registered email, in-console messages, or announcements posted on the Service; you should contact us at support@keeprouter.com.

16.6 **Independent parties:** The parties are independent contractors; these Terms create no agency, partnership, joint venture or employment relationship.

16.7 **Force Majeure:** We are not liable for delay or failure to perform due to events beyond our reasonable control (natural disasters, war, riot, strike, network or power outage, government action, interruption of upstream providers or infrastructure services, cyber-attacks, etc.).

## 17. Export Control & Sanctions

You represent and warrant that you and your end users are not on any applicable sanctions or restricted-party list (such as the US OFAC SDN List, the Department of Commerce Entity List, etc.), are not located in a comprehensively sanctioned country/region, and will not use the Service or its Outputs for any purpose or end-use prohibited by applicable export-control / sanctions law; and you will flow down this requirement to your end users.

## 18. Governing Law & Disputes

18.1 These Terms are governed by and construed under the laws of the **Hong Kong Special Administrative Region of China** (excluding its conflict-of-laws rules).

18.2 Any dispute arising out of or relating to these Terms is submitted to the jurisdiction of the **courts of the Hong Kong Special Administrative Region of China**; payment-related matters are additionally subject to the Paddle Buyer Terms and their stipulated governing law.

18.3 Payment-related matters may additionally be subject to the Paddle Buyer Terms and their applicable law.
